Article I – Name and Jurisdiction

Section 1. This organization shall be known as the San Diego Paranormal Research Society (“SDPRS”) and has been in existence under that name since October 3, 2009.

Section 2. The jurisdiction of this organization is worldwide with a special emphasis on Southern California and San Diego County.

Section 3. The principal office of this organization shall be located in the County of San Diego, State of California.

Article II – Team Objectives

  1. The goal of SDPRS is to scientifically examine, measure and analyze the paranormal.
  2. SDPRS will attempt to acquire evidence of paranormal phenomena by conducting on-site investigations at private residences, businesses and historical sites.
  3. SDPRS will assist clients who are dealing with ghostly phenomena.
  4. SDPRS will use a variety of scientific tools to acquire evidence of the paranormal.
  5. SDPRS will educate the public and clients about various types of paranormal phenomena and the study of ghosts and hauntings.
  6. SDPRS will provide assistance to clients if scope of problem lies beyond its knowledge base.
  7. SDPRS collaborates and works as a team to help advance the field of paranormal research.
  8. SDPRS will consult its consultants and other specialists in the field if needed.

I.   SDPRS does not investigate cases that are potentially malevolent or demonic in nature.

J. To attempt to prove the existence of ghosts through on-site investigations at alleged haunted locations with the aid of special equipment and/or psychics.
K. To examine all forms of evidence for the existence of ghosts including; photographs, audio sounds, video, meter fluctuations, and any physical proof gathered.
L. To receive, manage, invest, expend or otherwise use the funds and property of this organization to carry out the duties and to achieve the objectives set forth in these By-Laws.

Article III – Eligibility for Membership

Section 1. Subject only to the specific conditions stated hereinafter, any person of good moral character who has an interest and experience in the paranormal shall be eligible for membership at the discretion of the SDPRS Administration.

Section 2. Anyone wishing to become more involved with the organization may become members of SDPRS.

A. All SDPRS members must be at least twenty-five (25) years of age and have a valid ID or driver’s license prior to joining.
B. He/she must fill out a Member Application Form and provide a recent color photograph and driver’s license and complete at background check at own expense.
C. He/she must attend a brief interview with the SDPRS Administration Team.  If potential member is accepted into SDPRS, he/she will then meet for a mandatory “New Members Meeting.”
D. He/she must attend the majority of mandatory team meetings.
E.He/she must have their own form of transportation to and from meetings and field outings.

Section 3. No person shall be eligible for membership if:
A. He/she refuses to obligate himself to promptly pay the required membership fees and also renew promptly when notified.
B. There is reason to believe that he/she may not adhere to and abide by the By-Laws and our standard operating procedures.
C. He/she advocates race, religious or class hatred.
D. Does not have at least 3 months of paranormal investigation experience.
E. Does not possess the passion and dedication to follow through on investigator’s duties.

Section 4. Your Active Membership can be permanently revoked if:
A. Divulging privileged or confidential information gathered at Investigations with anyone outside the SDPRS circle.
B. Attempting to undermine the credibility of the organization in any way or disclose privileged and confidential information regarding cases.
C. Simple dishonesty or other bad traits which reflect unfavorably against the SDPRS and its clients.
D. Use of alcohol and/or recreational drugs of any kind.
E. Your status changes from that when you first became a member. In other words, you are unable to abide by Article III Sections 2(A-E) and Section 3(A-C).
F. Any member withholding video, audio, still pictures, documents, or any information pertaining directly to a sponsored SDPRS-related investigation.
G. Use language that goes against the mission of the San Diego Paranormal Research Society.
H.  Participates in ANY form of provoking the spirits.  This is strictly PROHIBITED.

Section 5. Other membership points:
A. The SDPRS Administration has the exclusive right to deny membership to anyone who does not meet the high standards set forth by the SDPRS.
B. All SDPRS-related photo id’s are the exclusive property of the SDPRS and must be surrendered to the SDPRS administration upon request when dropped from the organization, member resigns or failure to renew said membership promptly.
C. SDPRS members have a probationary status of 3 months and evaluated at the end of that time. It is then up to the SDPRS administration whether or not the said member will be invited to continue on with active membership.

Article IV – Board of Directors

Section 1.  The Board of Directors shall consist of at least one or two members.  The members of the board shall be appointed by other directors.  In the absence of a quorum, the chairman of the board shall make executive decisions on behalf of the board without written consent.

Section 2. Items brought to the board for decision-making shall be voted on and must have a majority of votes in order to pass.

Section 3: Members of the board shall give prior notice to other members if they choose to resign and the minimum number of directors falls below two.  Such director shall not be considered as technically resigned until a replacement is appointed.

Section 4. It shall be the Duty of the Chairman of the Board:
A. To preside at all meetings of this organization, including board meetings. He or she shall appoint all committees and shall also have the right to serve on all committees by virtue of his or her office.
B. To appoint a member of the organization to organize and conduct interviews and investigations.

C. To create and define the titles and duties of other roles that require executive function and to remove any such authority that has been designated.

 Section 5. It shall be the Duty of the Treasurer
A. To create and manage the organization’s budget

B. To provide members of the organization with a monthly statement of transactions and short explanation of how member fees will be allocated.

Article V – Membership

Section 1. Field Excursions and Investigations.

A. All Active Members who attend any functions associated with the organization will assume full responsibility and agree to relieve the SDPRS and the members of the board of any liability pertaining to personal injury, legal action or anything deemed as an act of God.
B. All people who attend functions associated with the organization will assume the same liability as defined in Article V, Section 1(A).

C. All information obtained during SDPRS-sponsored outings is the sole property of SDPRS and may not be reproduced or circulated without written consent of the board.
D. All members are expected to assist in reviewing evidence collected during investigations and field excursions.  The members will be expected to submit a report of their findings within one to four weeks of the event.

E. Failure to abide by the terms of membership may result in the board removing membership from an individual without prior notice.

Article VI – Field Excursions and Investigations

Section 1. Field Excursions and Investigations.

A. All Active Members who attend any functions associated with the organization will assume full responsibility and agree to relieve the SDPRS and the members of the board of any liability pertaining to personal injury, legal action or anything deemed as an act of God.
B. All people who attend functions associated with the organization will assume the same liability as defined in Article V, Section 1(A).

C. All information obtained during SDPRS-sponsored outings is the sole property of SDPRS and may not be reproduced or circulated without written consent of the board.
D. All members are expected to assist in reviewing evidence collected during investigations and field excursions.  The members will be expected to submit a report of their findings within two to four weeks of the event.

E. Failure to abide by the terms of membership may result in the board removing membership from an individual without prior notice.

Article VII – Meetings

Section 1. Meetings shall be held bi-monthly at a location decided on by members of the board.

Section 2. Attendance is mandatory for all members unless prior notice is given to a board member.

Section 3. The agenda of meetings will include:

  1. Opening remarks
  2. A review of financial items, including budget and statements
  3. Any items brought forth by directors or members with prior notice
  4. Any items that require a vote
  5. Open discussion
  6. Closing remarks
  7. Adjournment

Section 4. In certain cases, a special meeting may take place between a select group of members either in person or by phone.

Section 5. Notifications of meetings will be made and members will RSVP as to whether or not they can or cannot attend.

Section 6:  The board has the authority to create committees of members for purposes of stated objectives.

Article VIII – Standard Operating Procedures

Section 1.  All members will be required to abide by the protocols and standard operating procedures and comply with the organization’s code of ethics.

Section 2:  All member will sign an agreement upon membership that he or she will abide by the team’s protocols and SOPs at all times.

Article IX – Property

Section 1. All items including website content and logos shall not be reproduced and shall be the sole property of SDPRS.

Section 2. The title San Diego Paranormal Research Society will be the sole property of the organization and subject to copyright laws.
